A top-tier firm in New York City is seeking a senior-level Corporate Attorney with extensive experience in securities, capital markets, and corporate transactional law. Key Responsibilities:
• Draft and review public/private securities offering documents, including PIPEs and SPAC-related filings
• Advise on M&A transactions from structuring through closing
• Handle regulatory compliance under the Securities Act of 1933 and Exchange Act of 1934
• Support strategic initiatives including corporate governance and cross-border structuring
• Engage with clients on disclosure obligations, filings, and business planning
• Interpret and apply SEC guidance and manage comment responses
• Lead client relationships and assist with business development efforts

Qualifications:
• Minimum of 5 years’ experience in securities and corporate law
• Active member in good standing with the New York State Bar
• Deep understanding of capital markets, regulatory filings, and M&A structuring
• Experience with both public companies and private investors
• Self-directed and capable of managing complex transactions independently
